These Terms of Service (“Terms”) govern your access to and use of Alpha Key Digital’s website and services. By using our site or engaging our services, you agree to these Terms.

Alpha Key Digital provides digital marketing, SEO, advertising, website design, consulting, and related services pursuant to written agreements, proposals, or statements of work.
Website Use
You agree to use the website lawfully and not to:
- Attempt unauthorized access
- Transmit harmful or unlawful content
- Interfere with site security or operation
Intellectual Property
All website content and materials are owned by Alpha Key Digital or its licensors and may not be copied or used without written permission.
Client Responsibilities
Clients are responsible for:
- Providing accurate and timely information
- Reviewing and approving deliverables
- Ensuring their own legal and regulatory compliance
Alpha Key Digital is not responsible for delays caused by client inaction or incomplete inputs.
SEO & Advertising Performance Disclaimer
Alpha Key Digital provides best-effort marketing services and does not guarantee:
- Search engine rankings
- Website traffic
- Leads, conversions, or revenue
- Advertising performance or ROI
Results are affected by factors outside our control, including platform policies, algorithms, competition, budgets, market conditions, and client decisions.
HIPAA Disclaimer
Alpha Key Digital is not a HIPAA covered entity or business associate. Clients may not transmit PHI unless a separate written BAA is executed. Alpha Key Digital disclaims liability for unauthorized PHI handling.
Third-Party Platforms
We are not responsible for outages, changes, or policies of third-party platforms (e.g., Google, Meta, CRM providers).
Limitation of Liability
To the maximum extent permitted by law, Alpha Key Digital shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunity.
Total liability shall not exceed the fees paid to Alpha Key Digital in the three (3) months preceding the event giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Alpha Key Digital from claims arising from your misuse of services or violation of these Terms.
Termination
We may suspend or terminate services for violation of these Terms or non-payment.
Governing Law
These Terms are governed by the laws of the State of Ohio.
Changes
Continued use of the website constitutes acceptance of updated Terms.

Data Processing Addendum (GDPR / UK GDPR)
This Data Processing Addendum (“DPA”) applies where Alpha Key Digital processes Personal Data subject to GDPR or UK GDPR.
1. Roles
- Controller: Client
- Processor: Alpha Key Digital
2. Scope
Processing occurs solely to deliver contracted services per client instructions.
3. Data Types
May include names, emails, phone numbers, business contact details, and website usage data. No intentional processing of special category data.
4. Processor Obligations
Alpha Key Digital will:
- Process data only per documented instructions
- Ensure confidentiality
- Implement reasonable security measures
- Assist with data subject requests
- Notify of data breaches without undue delay
5. Subprocessors
Alpha Key Digital may use subprocessors (hosting, analytics, CRM). Responsibility for compliance remains with Alpha Key Digital.
6. International Transfers
Transfers rely on lawful safeguards such as Standard Contractual Clauses where applicable.
7. Retention & Deletion
Data is deleted or returned upon service termination unless legally required to retain it.
8. Liability
Liability under this DPA is subject to the limitation of liability in the Terms of Service.
9. Governing Law
This DPA follows the governing law of the primary agreement.
